MULTIFAMILYRADAR

Buyer Confidentiality and Non-Circumvention Agreement

Version 2026-10-31-v1

1. Who this is between

This agreement is between you ("Buyer") and Elite Exits LLC, a Texas limited liability company and licensed Texas real estate broker, TREC License No. 9016902 ("Elite Exits"). Elite Exits operates MultifamilyRadar and markets properties as Elite Exit Advisors.

"You" also means any company, trust or partnership you control or buy through, and anyone acting for you.

You accept this agreement by checking the box when you send an inquiry. It then applies to every property you ask us about.

2. What is protected

"Protected Information" means non-public information about a property or its seller that you get from us after you ask about that property. Examples are the street address, the owner's or seller's name and contact details, rent rolls, operating statements, offering memorandums and due diligence files.

It does not include information that:

  • is public, such as what appears on MultifamilyRadar or another public listing site;
  • you already had before we gave it to you; or
  • you get from another source that is free to share it.

3. Keeping it confidential

You will keep Protected Information private. You will not post it, forward it, or share it with other investors, agents, brokers or wholesalers without our written consent.

You may share it with your own lender, attorney, accountant or investment partners if they need it to evaluate the purchase and you tell them it is confidential. You are responsible for how they use it. You may also disclose it if a law or court order requires you to.

4. Not going around us

A "Protected Property" is any property whose Protected Information we give you. For 24 months after the date we first give you Protected Information about a Protected Property, you will not do any of the following unless it is through us or we agree in writing:

  • contact the owner or seller about buying the property;
  • make an offer on the property, directly or through someone else; or
  • buy the property, or a controlling interest in the company that owns it.

"Through us" means a transaction in which Elite Exits takes part as a broker.

This section does not stop you from continuing talks with an owner or seller that you started before we gave you the information, if you tell us in writing within 5 business days after we give it to you. It also does not stop you from dealing with a broker who has publicly listed a property, if you found that listing without using Protected Information.

5. If you go around us

If you buy a Protected Property in breach of section 4, you will pay Elite Exits 3% of the purchase price within 30 days after closing.

We both agree that our actual loss from a breach would be hard to calculate, and that this amount is a reasonable estimate of the fee we would have lost. It is not a penalty.

In any dispute over this agreement, the party that wins can recover its reasonable attorney's fees and court costs.

6. Using the information

You will use Protected Information only to decide whether to buy the property yourself. You will not use it to wholesale or assign the deal, to broker it to someone else, or to build a buyer or seller list.

7. Our role

This agreement does not make Elite Exits your agent or broker. On properties we list, we represent the seller. On other properties, we will tell you our role in writing before we act on a transaction. Broker compensation is not set by law and is fully negotiable.

You are not required to buy anything, and you owe us nothing unless section 5 applies. We pass on information as we received it and do not verify it, so check everything yourself before you buy.

You confirm that you received the Texas Real Estate Commission's Information About Brokerage Services notice, available at multifamilyradar.com/iabs.pdf.

8. How long this lasts

Sections 3, 4 and 6 apply to each property for 24 months from the date we first give you Protected Information about it.

9. Texas law and disputes

Texas law governs this agreement. Before filing a lawsuit, we will both try in good faith to settle the dispute through mediation in Collin County, Texas, and share the mediator's fee equally. Any lawsuit will be filed in the state or federal courts serving Collin County, Texas, and you consent to those courts.

10. Other terms

If a court finds any part of this agreement unenforceable, the rest stays in effect. A signed purchase contract, NDA or representation agreement for a specific property controls over this agreement where they conflict. We may update this agreement, but a new version applies to you only after you accept it. Your electronic acceptance counts as your signature.

11. Your acknowledgment

By checking the box you confirm that you have read this agreement, understand it, have had the chance to talk to an attorney, can bind any company you act for, and agree to be bound by it.
